About Zanda Partners

Zanda Partners provides capital raising, corporate advisory, strategic advisory and consulting expertise to private, unlisted Australian companies. We work in partnership with our clients to deliver transformative outcomes – acquisitions, industry consolidation, product expansion and innovation, international expansion, turnarounds and restructures.

Our capital raising processes are designed to deliver an outstanding outcome to our clients, their stakeholders and new investors. We partner with our clients on ‘capital-readiness’, often engaging well in advance of a raising to maximise the prospects of capital raising success. We continue to work closely with our clients following a successful raising to help them deliver on commitments made to new, and existing, investors. Our extensive investor network (comprising HNWs, private equity, family offices, wealth managers and advisers across Australia) derives confidence from our early engagement, depth and breadth of due diligence, efficient capital raising processes, interest alignment and engagement beyond investment.

In addition to capital and advice, we deliver experienced capability to our clients, including senior interim roles, C-suite executives, board members and outsourced finance, sales and technology teams. Following a period of rapid growth, Zanda Partners now has offices in Brisbane, Melbourne and the Sunshine Coast and is proud to have a team of ten experienced corporate advisers, management consultants, investment managers and C-suite executives across these locations.

Opportunity Overview

We are seeking A$10 million to grow unique, patented, Australian-developed technology, with immediate application in the US$150 billion global cybersecurity market. The technology is proven and has been successfully deployed across several clients in financial services, education, government, IT and charitable institutions. Its flagship client, a major Australian university, has over 100,000 users.

Investment Highlights

  • Unique technology, with unparalleled features in a single, unified platform, protected by global patents
  • Global cybersecurity market of US$150 billion is growing rapidly (expected to more than double by 2030), underpinned by legislation and consumer, business and societal demands
  • Product is proven and is ready to scale – removing its current key constraint, adequate growth capital, will enable this technology to realise global potential
  • Potential for highly attractive returns – 30% p.a. expected IRR for the convertible note instruments, with substantially higher potential returns with conversion
  • Significant social purpose and value – redressing privacy and safety in online usage, and restoring control and ownership to users in their digital identity and relationships
  • Realising the potential for, Australian-developed, Australian-owned and Australian-financed technology

Technology that is Ready to Scale Globally

The technology delivers a unique passwordless and usernameless security solution to digital engagement. It has no direct peer globally, and specifically addresses a number of deficiencies in existing technology (deficiencies which are being highlighted by the proliferation of online usage and evolving consumer, business and government demands). Importantly, the technology is ready to scale globally. To date, this has been hindered by its lack of adequate growth funding (which the investment opportunity has been crafted to address).

Growth Funding

A$10 million will be invested across sales, marketing, technology and management expertise to enable the business to scale immediately, leveraging a strong domestic client pipeline and increasing global interest. We expect an investor exit to take place in the medium term, likely through a share market listing. With enterprise values for listed, high growth cybersecurity companies currently between 10 – 20x forecast revenues, there is potential for significant investor returns (over A$60 million revenue forecast in CY25, from Australian operations alone).

Updated Offer Opens on 22 November 2021

This updated investment opportunity opens on 22 November 2021 (to sophisticated investors pursuant to section 708(8) of the Corporations Act 2001 (Cth) and Regulation 6D.2.03 of the Corporations Regulations 2001 (Cth)).

Interested investors will have access to:

  • Detailed investor presentation
  • Market research
  • Management interview
  • Flagship client interview
  • Several videos describing the technology

We are seeking indicative offers / expressions of interest by Friday 17 December. During January, we will work with selected investors, and will complete the capital raising in February 2022.

The Cybersecurity Market

The global cybersecurity market is currently valued at over US$150 billion and is expected to almost double by 2026. Market growth is underpinned by digital transformation initiatives and online engagement – shopping, work (including the new COVID-norm remote work), financial transactions, social media, education and learning.Cyberattacks are more frequent, sophisticated and impactful, with cybersecurity an increasing focus for:

  • Consumers (seeking safe, secure digital engagement, beyond experience
  • Businesses (seeking to protect sensitive information, ensuring business continuity and minimise financial and reputational risk)
  • Government (recent legislation increases obligations and reporting requirements, with step-in rights across a broadening definition of critical organisations)
  • Charitable institutions (protecting sensitive donor information and securing technology-oriented aid programs)
  • The cybersecurity market is broadly comprised of products (41%) and services / physical infrastructure (59%). While services companies continue to dominate media, products are gaining an increasing share of the cybersecurity market with a focus on ‘prevention, not cure’
